Terms of Service - GrowthPrime

1. Agreement to Terms

By accessing or using GrowthPrime's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Description

GrowthPrime provides funnel development, automation workflows, CRM integrations, and related digital marketing services. Our services include but are not limited to:

Custom funnel design and development
GoHighLevel implementation and customization
Automation workflow creation
CRM system integration and optimization
Technical consulting and support

3. User Responsibilities

As a client of GrowthPrime, you agree to:

Provide accurate and complete information necessary for project completion
Respond to requests for feedback and approval in a timely manner
Maintain the confidentiality of any login credentials provided
Use our services in compliance with all applicable laws and regulations
Not use our services for any illegal or unauthorized purpose

4. Payment Terms

Payment terms will be outlined in your specific service agreement. Generally:

Project deposits are required before work commences
Invoices are due within the timeframe specified in your agreement
Late payments may result in service suspension
Refund policies are project-specific and outlined in individual agreements

5. Intellectual Property

Client Materials: You retain all rights to content, data, and materials you provide to us.

Deliverables: Upon full payment, you receive ownership of custom code and designs created specifically for your project.

Our Tools & Frameworks: We retain ownership of proprietary tools, frameworks, and methodologies used in delivering services.

Third-Party Platforms: Services involving third-party platforms (e.g., GoHighLevel, Google Workspace) are subject to their respective terms of service.

6. Confidentiality

We respect the confidentiality of your business information. Any confidential information shared during our engagement will be protected and not disclosed to third parties without your consent, except as required by law.

7. Project Timeline & Deliverables

Project timelines are estimates based on information available at the start of the project. Timelines may be affected by:

Delays in receiving necessary materials or feedback from the client
Scope changes or additional feature requests
Technical limitations of third-party platforms
Unforeseen technical challenges

We will communicate any timeline changes promptly and work to minimize delays.

8. Revisions & Changes

The number of revisions included in your project will be specified in your service agreement. Additional revisions beyond the agreed scope may incur extra charges. Major scope changes will require a revised proposal and additional payment.

9. Support & Maintenance

Post-launch support terms vary by project and will be outlined in your service agreement. Ongoing maintenance and support services are available separately and require a separate agreement.

10. Limitation of Liability

GrowthPrime shall not be liable for:

Indirect, incidental, or consequential damages arising from the use of our services
Loss of profits, revenue, or data
Issues arising from third-party platforms or services
Damages resulting from unauthorized access to your systems

Our total liability shall not exceed the amount paid for the specific service in question.

11. Third-Party Services

Our services may integrate with or utilize third-party platforms and services. You acknowledge that:

Third-party services are subject to their own terms and policies
We are not responsible for changes, outages, or issues with third-party platforms
You are responsible for maintaining active accounts and subscriptions with required third-party services

12. Termination

Either party may terminate services with written notice. Upon termination:

You are responsible for payment of all work completed up to the termination date
We will provide you with completed work and source files for paid portions
Deposits for work not yet started may be refunded at our discretion
No refunds will be issued for completed work

13. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, express or implied. While we strive for excellence, we do not guarantee:

Uninterrupted or error-free operation of delivered systems
Specific business results or conversion rates
Compatibility with all future platform updates
That delivered solutions will meet all of your specific needs

14. Indemnification

You agree to indemnify and hold GrowthPrime harmless from any claims, damages, or expenses arising from:

Your use of our services
Your violation of these terms
Content you provide that infringes on third-party rights
Your violation of applicable laws or regulations

15. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiations. If a resolution cannot be reached, disputes shall be submitted to mediation before pursuing legal action.

18. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Service shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms of Service, together with any specific service agreements, constitute the entire agreement between you and GrowthPrime regarding the use of our services.
